By accessing or using this website and its related services (the Service), you agree to be bound by these Terms and Conditions (Terms). If you do not agree, you must not access or use the Service.

These Terms form a legally binding agreement between you and Auto Services Group Pty Ltd ("we", "us", "our").

The Service provides subscribed users with access to Japanese vehicle auction listings, images, pricing, condition reports, translations, and related data (Auction Content).

Auction Content is supplied in part or in full via paid third-party APIs and licensed data providers. Access is provided strictly subject to these Terms.

3.1 Eligibility

You must:

• Be at least 18 years old
• Provide accurate and current registration details
• Use the Service only for lawful purposes

3.2 Account security (strict)

• Accounts are personal, single-user licences
• You are responsible for all activity on your account
• You must not share, transfer, sell, sublicense, or otherwise allow third-party access

4.1 Payments

• Subscriptions are billed in advance via Stripe
• We do not store full payment card details
• Stripe processes payments subject to its own terms and privacy policy

4.2 Authorisation and continuity

By subscribing, you authorise us (via Stripe) to:

• Charge recurring subscription fees
• Retry failed payments
• Update payment methods automatically where supported by Stripe

4.3 Suspension for non-payment

We may suspend or terminate access immediately if:

• A payment fails
• A charge is disputed or reversed
• Stripe restricts or disables your payment method or account

All fees remain payable to the fullest extent permitted by law.

5.1 Ownership and licence

All Auction Content, platform software, branding, layout, and derived works are:

• owned by us, or
• licensed to us by third-party providers

You are granted a limited, revocable, non-exclusive, non-transferable licence to access Auction Content for personal, private, non-commercial viewing only.

5.2 Absolute prohibition on reproduction

Without our prior written consent, you must not:

• Copy, reproduce, distribute, resell, publish, or repurpose Auction Content
• Share screenshots, recordings, exports, or translations
• Post Auction Content on forums, social media, chat platforms, or websites
• Use Auction Content to train AI, populate databases, or create derivative services
• Scrape, crawl, cache, archive, or systematically extract data
• Circumvent technical controls, access limits, or watermarking

These restrictions apply regardless of format or intent, including manual copying.

6.1 Prohibited conduct

You must not:

• Share login credentials
• Allow concurrent access by multiple users
• Use VPNs, proxies, automation, or tooling to disguise shared use
• Access the Service on behalf of others

6.2 Monitoring and audit

To protect licensed data and platform integrity, we actively monitor and audit usage, including (without limitation):

• IP addresses and geolocation patterns
• Concurrent session activity
• Device and browser fingerprints
• Request rates, behaviour patterns, and anomaly detection
• Access timing and usage correlation

You consent to this monitoring as a condition of using the Service.

You acknowledge and agree that:

• Unauthorised reproduction or credential sharing causes significant commercial harm
• Actual damages are difficult or impossible to precisely quantify, particularly due to third-party licensing exposure

7.1 Liquidated damages amount

If we determine that you have:

• Shared credentials, or
• Reproduced, redistributed, or misused Auction Content

you agree to pay liquidated damages of:

• AUD $5,000 per breach,
• plus AUD $1,000 per day the breach continues,
• or such greater amount as represents our actual loss, whichever is higher.

This amount is a genuine pre-estimate of loss and not a penalty.

7.2 Additional remedies

Payment of liquidated damages does not limit our right to:

• Terminate your account immediately
• Recover additional losses
• Seek injunctive relief
• Recover legal and enforcement costs

Where a breach is identified (at our sole discretion):

• Your account will be terminated immediately
• All monies paid are forfeited
• No refunds will be issued
• Associated or related accounts may be suspended or banned
• Evidence may be preserved for enforcement or legal proceedings

If you voluntarily submit information to an import broker via the Service:

• You do so at your own discretion
• We act solely as a facilitator
• We are not an import broker and provide no advice
• Any agreement is strictly between you and the broker

You must not:

• Breach any law or regulation
• Infringe intellectual property rights
• Interfere with system security or performance
• Reverse-engineer, decompile, or probe the Service
• Use the Service in a way that exposes us to third-party liability

• The Service is provided "as is" and "as available"
• Auction Content may be incomplete, delayed, withdrawn, or inaccurate at source
• We do not guarantee availability, accuracy, or fitness for purpose

To the maximum extent permitted by law:

• We exclude all warranties except those that cannot be excluded
• We are not liable for indirect or consequential loss
• Our total liability is limited to the fees paid by you in the 12 months preceding the claim

Nothing limits rights under Australian Consumer Law.

You agree to indemnify us against any claim, loss, damage, liability, or expense arising from:

• Your misuse of the Service
• Breach of these Terms
• Any unauthorised use of Auction Content

We may suspend or terminate access:

• Immediately for breach
• Without notice where required to protect our rights or licensors
• Without liability to you

Clauses relating to IP, liquidated damages, monitoring, indemnity, and governing law survive termination.

These Terms are governed by the laws of South Australia, Australia.

You submit to the exclusive jurisdiction of South Australian courts.
